BIG CITI LOOPS

NON-EXCLUSIVE ROYALTY-FREE SAMPLE PACK LICENSE AGREEMENT

This Non-Exclusive Royalty-Free Sample Pack License Agreement (“Agreement”) is entered into between Big Citi Loops, operated by [LEGAL BUSINESS NAME] (“Big Citi Loops,” “Licensor,” “we,” “us,” or “our”), and the individual or entity obtaining, purchasing, downloading, or otherwise receiving a sample pack from BigCitiLoops.com (“Licensee,” “you,” or “your”).

By purchasing, downloading, accessing, or using any sample pack, loop, one-shot, sound, MIDI file, preset, stem, construction kit, or other audio content made available by Big Citi Loops (collectively, the “Samples”), you acknowledge that you have read, understood, and agreed to the terms of this Agreement.

1. GRANT OF LICENSE

Subject to your compliance with this Agreement, Big Citi Loops grants you a non-exclusive, worldwide, perpetual, royalty-free, non-transferable license to use the Samples in your own original musical and audio productions.

This license permits you to:

  • Incorporate the Samples into original songs, beats, instrumentals, soundtracks, compositions, recordings, and other musical productions.

  • Modify, edit, chop, pitch, stretch, reverse, process, layer, manipulate, resample, rearrange, or otherwise alter the Samples.

  • Combine the Samples with other sounds, recordings, instruments, vocals, effects, or musical elements.

  • Use productions containing the Samples for commercial or non-commercial purposes.

  • Release, distribute, stream, perform, broadcast, sell, license, monetize, and otherwise exploit your finished musical productions.

  • Use your finished productions on platforms including, but not limited to, Spotify, Apple Music, YouTube, TikTok, Instagram, SoundCloud, Amazon Music, Beatport, Bandcamp, radio, television, film, games, advertising, podcasts, and other media.

No additional royalty, mechanical royalty, synchronization royalty, performance royalty, or other payment is owed to Big Citi Loops for your permitted use of the Samples in finished musical productions.

2. NON-EXCLUSIVE LICENSE

This is a non-exclusive license.

You understand and agree that:

  1. You do not receive exclusive rights to any Sample.

  2. Big Citi Loops may license, sell, distribute, use, modify, or otherwise provide the same or similar Samples to other customers or third parties.

  3. Other customers may legally use the same Samples in their own productions.

  4. Your purchase does not prevent Big Citi Loops or other licensed users from using the Samples.

You may not claim that you are the exclusive owner, creator, or licensee of any Sample.

3. ROYALTY-FREE USE

“Royalty-Free” means that, after obtaining a valid license to the Samples, you may use the Samples in accordance with this Agreement without paying additional royalties to Big Citi Loops for each commercial release or use.

Royalty-free does not mean that the Samples are sold as public-domain material or that ownership of the Samples is transferred to you.

4. OWNERSHIP AND COPYRIGHT

Big Citi Loops and/or its licensors retain all right, title, and interest in and to the Samples, including all copyrights and other intellectual property rights, except for rights expressly granted to you under this Agreement.

Your purchase grants you a license to use the Samples. It does not constitute a sale or transfer of copyright ownership in the Samples.

You may own the original creative contributions you independently add to a production, subject to the rights of any other contributors and third-party materials.

5. USE IN FINISHED MUSICAL PRODUCTIONS

You may use the Samples as components of a larger musical production.

A permitted “Finished Musical Production” may include:

  • Songs

  • Beats

  • Instrumentals

  • Albums

  • EPs

  • Mixtapes

  • Soundtracks

  • Film and television music

  • Video-game music

  • Commercial music

  • Podcasts

  • Advertisements

  • Social-media content

  • Background music

  • Live performances

  • Other original audio productions

The Finished Musical Production must contain sufficient original creative content beyond the isolated Sample itself.

6. PROHIBITED USES

You may not use, distribute, sell, sublicense, share, upload, or otherwise make the Samples available in a manner that allows another person to obtain or extract the Samples as standalone or substantially unchanged audio files.

Prohibited uses include:

A. Reselling or Redistributing Samples

You may not:

  • Resell individual Samples.

  • Resell or redistribute the Sample Pack.

  • Upload the Samples to another sample library or marketplace.

  • Give the Samples away as a competing sample pack.

  • Share the original Sample Pack files with other individuals.

  • Make the Samples available through torrents, file-sharing services, cloud folders, download links, or similar services for third-party access.

B. Creating Competing Sample Products

You may not use the Samples to create or distribute a competing:

  • Sample pack

  • Loop pack

  • Construction kit

  • Sound library

  • Sample library

  • One-shot collection

  • Preset collection

  • Downloadable audio collection

C. Standalone Distribution

You may not distribute a Sample by itself or in substantially the same form in which it was supplied by Big Citi Loops.

The Samples must be incorporated into a larger musical or audio production.

7. CONTENT ID, FINGERPRINTING, AND AUTOMATED CLAIM SYSTEMS

Because the Samples are licensed on a non-exclusive basis, you acknowledge that the same Sample may be used by multiple customers.

You agree not to intentionally register an unmodified or substantially unmodified Big Citi Loops Sample with a content-identification, audio-fingerprinting, or rights-management system in a manner that attempts to claim exclusive ownership of the Sample.

This includes systems such as YouTube Content ID and comparable automated rights-management systems.

If you register a Finished Musical Production containing Samples with an automated rights-management service, you must not use that registration to claim ownership over the underlying Big Citi Loops Samples or prevent other properly licensed users from using those Samples.

8. MUSIC COPYRIGHT REGISTRATION

You may register your original Finished Musical Production with the appropriate copyright office or performing rights organization, provided that such registration does not represent the underlying Samples as being exclusively created or owned by you.

You may not register a Big Citi Loops Sample itself as an original work owned exclusively by you.

9. PERFORMANCE, DISTRIBUTION, AND COMMERCIAL RELEASE

You may commercially exploit Finished Musical Productions containing the Samples without paying additional royalties to Big Citi Loops.

This includes:

  • Digital streaming

  • Digital downloads

  • Physical releases

  • Music licensing

  • Synchronization uses

  • Radio

  • Television

  • Film

  • Video games

  • Advertising

  • Social media

  • Live performances

  • Beat sales

  • Artist releases

  • Record-label releases

  • Independent releases

  • Monetized online content

You are responsible for obtaining any additional permissions required for third-party material that you add to your production.

10. SAMPLE CLEARANCE

Big Citi Loops represents that it has the right to license the Samples under this Agreement to the extent applicable to the Samples supplied by Big Citi Loops.

However, Licensee is responsible for ensuring that any additional sounds, recordings, compositions, vocals, performances, or other third-party materials incorporated into a Finished Musical Production are properly cleared.

Big Citi Loops is not responsible for third-party materials added to your production independently of the Samples.

11. NO EXCLUSIVE CLAIMS

You agree not to claim exclusive ownership over:

  • The Samples themselves;

  • Any substantially unchanged portion of a Sample;

  • The underlying audio recording represented by a Sample; or

  • Rights that were not granted to you under this Agreement.

Your rights apply to your Finished Musical Production and your original creative contributions, subject to this Agreement.

12. NO CREDIT REQUIRED

Unless otherwise stated on the applicable product page, credit or attribution to Big Citi Loops is not required when using the Samples under this Agreement.

You may voluntarily provide credit if desired.

13. LICENSE TRANSFER

Your license is granted to the individual or legal entity that lawfully obtains the Sample Pack.

You may use the Samples across your own projects and productions, but you may not transfer, sublicense, sell, or assign the Samples or your license to another person for the purpose of allowing that person to use the Samples independently.

14. MULTIPLE USERS AND BUSINESS USE

If a Sample Pack is purchased for use by a business, production company, record label, studio, or other organization, the organization may use the Samples in its productions provided that the Samples are not redistributed as standalone files.

The Samples may not be placed into a shared internal or external library for unrestricted access by individuals who have not obtained rights to use them.

15. NO REFUNDS FOR USED OR DOWNLOADED PRODUCTS

Because digital Sample Packs are downloadable digital products, purchases may be non-refundable once the product has been downloaded or accessed, except where otherwise required by applicable law or expressly provided by Big Citi Loops.

Big Citi Loops reserves the right to determine refund eligibility for digital products in accordance with its applicable refund policy.

16. TERMINATION

Big Citi Loops may terminate this license if you materially violate the terms of this Agreement.

Upon termination, you must cease using the Samples for any new projects and delete or destroy copies of the Samples in your possession or control, except where retention is required by law.

Finished Musical Productions lawfully created before termination may continue to be exploited unless the termination results from fraud, intentional infringement, unauthorized redistribution, or another circumstance in which applicable law permits Big Citi Loops to seek additional remedies.

17. DISCLAIMER

The Samples are provided on an “AS IS” basis to the maximum extent permitted by applicable law.

Big Citi Loops makes no guarantee that a particular Sample will meet your specific artistic, technical, commercial, or production requirements.

To the maximum extent permitted by law, Big Citi Loops disclaims warranties not expressly provided in this Agreement.

18. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Big Citi Loops shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of the Samples or Finished Musical Productions.

Big Citi Loops' total liability relating to a particular Sample Pack shall not exceed the amount actually paid by you for that Sample Pack, except where such limitation is prohibited by applicable law.

19. INDEMNIFICATION

You agree to indemnify and hold harmless Big Citi Loops and its owners, officers, employees, contractors, licensors, and representatives from claims, damages, losses, liabilities, and expenses arising from your:

  • Breach of this Agreement;

  • Unauthorized redistribution of Samples;

  • Unauthorized resale or sublicensing;

  • Misuse of the Samples;

  • Infringement caused by materials independently added by you; or

  • Violation of applicable law.

20. CHANGES TO THIS AGREEMENT

Big Citi Loops may update this Agreement from time to time.

The version of the Agreement applicable to your Sample Pack license is the version presented or incorporated at the time you obtain the applicable Sample Pack, unless otherwise required by applicable law.

21. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of [STATE], without regard to conflict-of-law principles.

Any dispute arising from this Agreement shall be resolved in the applicable courts located in [COUNTY, STATE], unless otherwise required by applicable law.

22. SEVERABILITY

If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intended purpose.

23. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between Big Citi Loops and Licensee regarding the licensing of the Samples and supersedes prior or contemporaneous agreements concerning the same subject matter, except for any additional written terms expressly incorporated into the applicable product or purchase.

24. ACCEPTANCE OF TERMS

By purchasing, downloading, accessing, or using a Sample Pack from BigCitiLoops.com, you acknowledge that:

  • You have read and understood this Agreement.

  • You agree to be bound by its terms.

  • You understand that the license is non-exclusive.

  • You understand that the license is royalty-free.

  • You understand that you do not own the underlying Samples.

  • You may commercially exploit Finished Musical Productions containing the Samples.

  • You may not resell, redistribute, sublicense, or provide the Samples as standalone files.

  • You may not claim exclusive ownership of the underlying Samples.

Your purchase of a Big Citi Loops Sample Pack grants you a non-exclusive, royalty-free license to incorporate the Samples into your own original musical productions.

You may sell and commercially release your finished music.

You may NOT resell, redistribute, upload, share, sublicense, or claim exclusive ownership of the Samples themselves.
